Terms of Service

These terms are an agreement between you and ModCentral Holdings Limited, trading as Eclipse ("we", "us"), a New Zealand company. They cover the Guardbot Discord bot, the website at guardsbots.com, the dashboard, the appeal pages and any paid plan (together, "Guardbot"). By adding Guardbot to a server, signing in, or buying a plan, you agree to these terms, our Privacy Policy and our Refund Policy.

1. Who can use Guardbot

• You must meet Discord's minimum age in your country and follow the Discord Terms of Service and Community Guidelines.
• Only add Guardbot to a server you own or have permission to manage. The person who adds Guardbot or buys a plan for a server ("server owner") is responsible for how it is configured and used there.
• If you use Guardbot on behalf of a community, organisation or business, you confirm you are allowed to accept these terms for it.

2. What Guardbot does

Guardbot is an automated moderation tool. Depending on your settings and plan it can detect staff impersonation, spam, scam and phishing links, raids and nuke attempts; warn, time out, kick or ban members; delete messages; log server activity; scan images; run AI checks on suspicious behaviour; share threat signals between servers; save evidence for appeals; and back up and restore your server's structure.

Automated detection is never perfect. Guardbot can miss harmful content and can act on innocent members ("false positives"). You are responsible for reviewing its actions, choosing your settings and handling appeals fairly. Guardbot supports your moderators — it does not replace them.

3. Your responsibilities

• Tell your members that your server is moderated by an automated bot that logs activity, for example in your rules channel.
• Give Guardbot only the permissions it needs, and keep your Discord account and dashboard access secure.
• Don't use Guardbot to harass people, to target members unfairly, to collect data for any purpose other than moderating your server, or to break any law.
• Don't try to break, overload, reverse-engineer or get around Guardbot's limits, plan restrictions or security, and don't access other servers' data.
• Don't submit false threat reports or abuse the appeal system.

4. Plans and payment

• Guardbot has a free plan and paid plans (Starter, VIP, Gold VIP and Business). Current prices and features are on the pricing section. Prices are in New Zealand dollars (NZD) and include any GST that applies.
• A paid plan is bought for one Discord server. Payments are processed by Revolut; we never see or store your full card details.
• Plans are billed monthly or yearly in advance and renew automatically until cancelled. A yearly plan is charged as one payment for 12 months.
• You can cancel at any time from the Billing page of the dashboard. Your plan stays active until the end of the period you have paid for and then moves to Free. Switching plans takes effect at your next renewal.
• If a payment fails, we may pause paid features until it succeeds.
• We may change prices for future billing periods. We will give at least 14 days' notice of a price increase on the dashboard or by email; you can cancel before it applies.
• We may give a server a complimentary plan at our discretion. Complimentary plans can be ended at any time.

5. Refunds — 7-day money-back guarantee

If you are not happy, you can get a full refund of any payment within 7 days of being charged. The details are in our Refund Policy.

6. Plan limits and fair use

Each plan has limits, for example on image scans, AI reviews, backups and how long history is kept. When a monthly limit is reached the feature pauses until the next month. Features locked to a higher plan are not available on lower plans, even if they appear in the dashboard.

7. Ban appeals and evidence

Guardbot gives server teams an appeal page and can save evidence (messages and file copies) about moderation actions. Each server's own team decides appeals, not us. We are not responsible for a server's moderation decisions, but you can report misuse of Guardbot to us.

8. Threat network

Servers on eligible plans share signals about accounts that Guardbot has banned with high confidence for scams, raids or similar abuse. A listed account may be flagged or blocked in other servers that use Guardbot. Our team reviews listings and anyone who believes they were listed in error can contact us to request a review. We may remove any listing at any time.

9. Availability and changes

We work to keep Guardbot running, but it depends on Discord and other providers and is provided without a guarantee of uninterrupted service. We may update, add or remove features. If we remove a major paid feature during a period you have paid for, you can ask for a proportional refund for the remaining time.

10. Suspension and ending

You can stop using Guardbot at any time by removing it from your server and cancelling any plan. We may suspend or end access for a server or user that breaks these terms or Discord's rules, harms others, or puts Guardbot at risk. If we end a paid plan without you breaking these terms, we will refund the unused part of the period.

11. Intellectual property

Guardbot, its name, logo, code and website belong to us. Branding you upload (nicknames, colours, avatars, banners) stays yours; you give us permission to use it only to show it in your server, and you confirm you have the right to use it.

12. Liability

Nothing in these terms limits your rights under the New Zealand Consumer Guarantees Act 1993, the Fair Trading Act 1986 or other laws that cannot be excluded. If you use Guardbot for the purposes of a business, the Consumer Guarantees Act does not apply, to the extent the law allows.

To the extent the law allows: Guardbot is provided "as is"; we are not liable for indirect or consequential loss, lost data, lost members, or damage caused by Discord, other bots, compromised accounts, or the settings you choose; and our total liability to you for any claim is limited to the amount you paid us for Guardbot in the 12 months before the claim.

13. Changes to these terms

We may update these terms. The date at the top shows the latest version. For important changes we will give notice on the website or dashboard at least 14 days before they apply. If you keep using Guardbot after that, the new terms apply.

14. Law

These terms are governed by the laws of New Zealand, and the courts of New Zealand have jurisdiction.
